2026, <a href=\"https:\/\/jusconnect.com\/en\/d\/profile\/firm\/wordstone-dispute-resolution\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>Wordstone Dispute Resolution<\/strong><\/a> and the associations Paris Investment Arbitration Group (&#8220;<strong>PIAG<\/strong>&#8220;), led by Ms Jelena Todi\u0107 and Ms Charlotte Matthews, and Young International Federation for Investment Law and Arbitration (&#8220;<strong>YIFILA<\/strong>&#8220;), led by Ms Stephanie Collins and Ms Emma Iannini, organized a conference on new generation Bilateral Investment Treaties (\u201c<strong>BITs<\/strong>\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The panel, moderated by Ms <strong><a href=\"https:\/\/jusconnect.com\/en\/p\/audrey-caminades\" target=\"_blank\" rel=\"noreferrer noopener\">Audrey Caminades<\/a><\/strong> (Of Counsel at Wordstone Dispute Resolution), included Ms<a href=\"https:\/\/jusconnect.com\/en\/p\/marija-sobat\" target=\"_blank\" rel=\"noreferrer noopener\"> <strong>Marija \u0160obat<\/strong><\/a><strong> <\/strong>(Senior Associate at G<a href=\"https:\/\/jusconnect.com\/en\/d\/profile\/firm\/gaillard-banifatemi-shelbaya-disputes\" target=\"_blank\" rel=\"noreferrer noopener\">BS Disputes<\/a>), Ms <strong><a href=\"https:\/\/jusconnect.com\/en\/p\/jennifer-younan\" target=\"_blank\" rel=\"noreferrer noopener\">Jennifer Younan<\/a><\/strong> (Partner at <a href=\"https:\/\/jusconnect.com\/en\/d\/profile\/firm\/a-o-shearman\" target=\"_blank\" rel=\"noreferrer noopener\">A&amp;O Shearman<\/a>), Ms <strong><a href=\"https:\/\/jusconnect.com\/en\/p\/anna-toubiana\" target=\"_blank\" rel=\"noreferrer noopener\">Anna Toubiana<\/a><\/strong> (Legal Counsel at the <a href=\"https:\/\/jusconnect.com\/en\/d\/profile\/institution\/en-icsid-international-centre-for-settlement-of-investment-disputes\" target=\"_blank\" rel=\"noreferrer noopener\">International Centre for Settlement of Investment Disputes (\u201c<strong>ICSID<\/strong>\u201d)<\/a>, and Mr <strong>Olivier Whitehead <\/strong>(Legal Counsel at the Ministry of Foreign Affairs of the Netherlands).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms Caminades began the conference by highlighting that despite years of practice and case law, there is still no universal consensus on the definition of an investment or on the scope of TBI protections. She explained that the conference would examine whether BITs have undergone substantive changes, and the panelists would explore whether new-generation BITs seek to rebalance protection between investors and States or to grant greater regulatory autonomy to the latter, or whether they merely constitute updated versions of earlier treaties that had been criticized, <em>inter alia<\/em>, for being overly favorable to investors.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The discussion was structured around three main topics: the content of \u201cnew generation\u201d treaties; their practical application; and the question of whether these developments should be considered as reform, rebrand or reset.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms \u0160obat began the first topic by discussing the provisions of the treaties. She provided historical context on <a href=\"https:\/\/jusmundi.com\/en\/document\/publication\/en-expropriation\" target=\"_blank\" rel=\"noreferrer noopener\">expropriation<\/a>, explaining that it evolved from the idea of the State seizing <em>de facto<\/em> ownership control to encompassing the taking of contractual rights through a diminution of value. She added that contractual rights were often overlooked in the general understanding of expropriation, and that decisions rendered by different tribunals expanded the modern concept to include not only property rights and titles but also contractual rights, along with a depreciation in property value. The focus is therefore no longer limited to <em>de facto <\/em>ownership. New expropriation provisions can be found, for example, in the Canada Model BIT.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms. Toubiana then continued by exploring the shift toward <a href=\"https:\/\/jusmundi.com\/en\/document\/publication\/en-transparency\" target=\"_blank\" rel=\"noreferrer noopener\">transparency<\/a> between the new BITs and the earlier ones. Previously addressed only during negotiations, transparency is now an integral part of the procedure. She noted that at the end of the 19th century, transparency was not a consideration. Over the years, States began to move away from this approach, as illustrated by BIT models such as the Colombian or Canadian ones. Today, the 2022 ICSID Arbitration Rules establish transparency as a default rule, and confidentiality must be affirmatively requested by the parties. Parties can now agree, in a specific procedural order No. 2, on transparency and confidentiality provisions concerning the publication of awards, orders and decisions, other documents filed in the proceedings, transcripts and recordings of hearings, open hearings, and the definition of confidential and protected information.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mr Whitehead spoke about the interplay between law and policy over time. He noted that transparency provisions are increasingly featured in new treaties as a result of evolving policy considerations. He then turned to the second topic, namely the obligations included in the new BITs. He gave the example of the 2019 Dutch Model BIT, which was revised to provide more balanced obligations, guarantees, and policy freedoms. He observed that Dutch politics play a role in shaping the content of treaties and that BITs are now regarded as useful instruments in support of other policy objectives, such as sustainable development, which has in turn led to the incorporation of corresponding provisions into the model BIT.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms. Younan discussed the investor-State dispute settlement (\u201c<strong>ISDS<\/strong>\u201d) provisions, which are generally converging with the provisions included by States in their BITs, albeit with certain exceptions. States continue to maintain ISDS mechanisms, though with some reservations. She noted that in the new BITs, States tend to codify or modify existing provisions, while also incorporating additional considerations such as gender, geographical and age diversity, as well as the balance between common law and civil law traditions. She further noted that the introduction of mediation as a preliminary phase constitutes a notable development, and that provisions prohibiting double-hatting in ICSID proceedings have emerged.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The speakers noted that a large percentage of case law in arbitration is still based on older treaties, making it complicated to assess the real effect of new BITs. In this regard, it was observed that since the publication of the 2019 Dutch Model BIT, there have been no new BITs signed, although some negotiations are ongoing. He said he sees a role for the U.N. Working Group III and that modernization can be seen through efforts such as multilateral forums. He stated that underlying policy for new-generation BITs can be achieved in current arbitration on the basis of old treaties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, Ms. Younan said that the fact that a large percentage of case law in arbitration is still based on older treaties can make it complicated to assess the real effect of the new BITs. To illustrate this point, she cited examples such as <em><a href=\"https:\/\/jusmundi.com\/en\/document\/decision\/en-eco-oro-minerals-corp-v-republic-of-colombia-award-monday-15th-july-2024#decision_66452?su=%2Fen%2Fsearch%3Fquery%3DEco%2BOro%2Bv.%2BColombia%26lang%3Den\" target=\"_blank\" rel=\"noreferrer noopener\">Eco Oro v. Colombia,<\/a><\/em> which shows efforts on the part of States in adopting new BITs with new provisions, but arbitral tribunals still heavily rely on old treaties or precedents based on earlier BITs. She also cited a study by Wolfgang Alschner entitled <em>Investment Arbitration and State-driven Reform: New Treaties, Old Outcomes <\/em>to illustrate the impact of awards based on old TBIs on the new treaties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms. Toubiana then agreed that there has not been enough time to observe the global effects of the new BITs. Even though the language is evolving, older treaties still have an impact.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms. \u0160obat then returned to the issue of expropriation, citing new US, Canadian, and Chinese BITs that contain provisions on expropriation. She described some provisions that we can observe<em>, i.e <\/em>indirect expropriation that can be excluded from the definition of the expropriation in the BITs\u2019 provisions; application to regulatory measures; and regulatory definitions aiming to frame expropriation. She finished her explanation by saying it is more difficult to agree that a discriminatory measure can constitute expropriation, and there is more space for interpretation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The question remains: who will decide on the new BITs\u2019 application? The arbitral tribunals, and thus we may return to older precedents. Elle a rappel\u00e9 le contexte historique de l\u2019<a href=\"https:\/\/jusmundi.com\/en\/document\/publication\/en-expropriation\" target=\"_blank\" rel=\"noreferrer noopener\">expropriation<\/a>, en expliquant que cette notion a \u00e9volu\u00e9 d\u2019une conception initiale centr\u00e9e sur la prise de contr\u00f4le <em>de facto<\/em> par l\u2019\u00c9tat vers une approche englobant l\u2019atteinte aux droits contractuels par une diminution de leur valeur \u00e9conomique. Elle a ajout\u00e9 que ces droits \u00e9taient souvent n\u00e9glig\u00e9s dans la compr\u00e9hension g\u00e9n\u00e9rale de l\u2019expropriation, et que les d\u00e9cisions rendues par diff\u00e9rents tribunaux arbitraux ont \u00e9largi la conception moderne pour y inclure non seulement les droits de propri\u00e9t\u00e9 et les titres mais aussi les droits contractuels, ainsi que la d\u00e9pr\u00e9ciation de la valeur des biens. L\u2019analyse ne se limite donc plus \u00e0 la propri\u00e9t\u00e9 <em>de facto<\/em>. De nouvelles dispositions en mati\u00e8re d\u2019expropriation peuvent \u00eatre observ\u00e9es, par exemple, dans le mod\u00e8le de TBI canadien.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mme Toubiana a poursuivi la discussion en abordant l\u2019\u00e9volution de la <a href=\"https:\/\/jusmundi.com\/en\/document\/publication\/en-transparency\" target=\"_blank\" rel=\"noreferrer noopener\">transparence<\/a> dans les nouveaux TBI. Auparavant abord\u00e9e seulement lors de n\u00e9gociations, la transparence fait d\u00e9sormais partie int\u00e9grante de la proc\u00e9dure. Elle a rappel\u00e9 qu\u2019\u00e0 la fin du XIXe si\u00e8cle, la transparence n\u2019\u00e9tait pas prise en compte. Au fil du temps, les \u00c9tats ont commenc\u00e9 \u00e0 s\u2019\u00e9loigner de cette approche, comme l\u2019illustrent les mod\u00e8les de TBI tels que ceux de la Colombie ou du Canada. Aujourd\u2019hui, le R\u00e8glement d&#8217;arbitrage du CIRDI de 2022 \u00e9tablit la transparence comme r\u00e8gle par d\u00e9faut, et la confidentialit\u00e9 doit \u00eatre express\u00e9ment demand\u00e9e par les parties. Les parties peuvent d\u00e9sormais convenir, dans une ordonnance proc\u00e9durale sp\u00e9cifique n\u00b0 2, de dispositions en mati\u00e8re de transparence et de confidentialit\u00e9 concernant la publication des sentences, des ordonnances et des d\u00e9cisions, des autres documents d\u00e9pos\u00e9s dans le cadre de la proc\u00e9dure, des transcriptions et des enregistrements des audiences, des audiences publiques, ainsi que la d\u00e9finition des informations confidentielles et prot\u00e9g\u00e9es.\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">M. Whitehead a evoqu\u00e9 l\u2019articulation entre le droit et les politiques publiques. Il a soulign\u00e9 que les dispositions relatives \u00e0 la transparence se multiplient dans les nouveaux trait\u00e9s sous l\u2019effet de l\u2019\u00e9volution des politiques publiques. Il a poursuivi sur le deuxi\u00e8me sujet concernant les obligations pr\u00e9vues dans les nouveaux TBI. Il a pris l\u2019exemple du mod\u00e8le n\u00e9erlandais de TBI de 2019, qui a \u00e9t\u00e9 r\u00e9vis\u00e9 afin d\u2019instaurer des obligations, des garanties et des marges de man\u0153uvre politique plus \u00e9quilibr\u00e9es. Il a relev\u00e9 que la politique n\u00e9erlandaise joue un r\u00f4le particulier dans la d\u00e9termination du contenu des TBI et qu\u2019ils sont aujourd\u2019hui consid\u00e9r\u00e9s comme des instruments utiles au service d\u2019autres politiques, notamment en mati\u00e8re de d\u00e9veloppement durable, ce qui a conduit \u00e0 l\u2019insertion de nouvelles dispositions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mme Younan a abord\u00e9 les dispositions relatives au r\u00e8glement des diff\u00e9rends entre investisseurs et \u00c9tats (\u00ab <strong>RDIE<\/strong> \u00bb), qui tendent globalement \u00e0 converger avec celles des \u00c9tats, bien que certaines exceptions subsistent. Les \u00c9tats continuent de recourir au RDIE mais avec certaines r\u00e9serves. Elle a indiqu\u00e9 que, dans les nouveaux TBI, les \u00c9tats ont tendance \u00e0 modifier des dispositions existantes, tout en int\u00e9grant de nouvelles th\u00e9matiques telles que la diversit\u00e9 de genre, g\u00e9ographique ou g\u00e9n\u00e9rationnelle, ainsi que la diversit\u00e9 entre syst\u00e8mes de <em>common law<\/em> et de droit civil. Elle a \u00e9galement soulign\u00e9 que le recours \u00e0 la m\u00e9diation en tant que phase pr\u00e9alable constitue une \u00e9volution r\u00e9cente, de m\u00eame que l\u2019\u00e9mergence de dispositions visant \u00e0 interdire la \u00ab double casquette \u00bb dans les proc\u00e9dures CIRDI.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">S\u2019agissant du dernier sujet, M. Whitehead a estim\u00e9 qu\u2019il est encore t\u00f4t pour analyser concr\u00e8tement les nouveaux TBI et dire s\u2019ils constituent une v\u00e9ritable r\u00e9forme. Malgr\u00e9 qu\u2019aucun trait\u00e9 n\u2019ait encore \u00e9t\u00e9 sign\u00e9 suite \u00e0 la publication du nouveau mod\u00e8le n\u00e9erlandais de TBI de 2019, des n\u00e9gociations sont en cours, et des efforts importants sont d\u00e9ploy\u00e9s pour conclure ces nouveaux TBI. Il a ajout\u00e9 qu\u2019il voit un r\u00f4le pour le Groupe de travail III des Nations Unies et que la modernisation peut \u00e9galement passer par des initiatives telles que les forums multilat\u00e9raux. Il a sugg\u00e9r\u00e9 que la politique sous-jacente des BIT de nouvelle g\u00e9n\u00e9ration peut d\u00e9j\u00e0 \u00eatre prise en compte dans les arbitrages actuels fond\u00e9s sur des trait\u00e9s anciens.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mme Younan a insist\u00e9 sur le fait qu\u2019une grande partie de la pratique arbitrale repose sur l\u2019interpr\u00e9tation de trait\u00e9s plus anciens, ce qui peut rendre difficile l\u2019\u00e9valuation de l\u2019impact r\u00e9el des nouveaux TBI. Certaines affaires, telles que <em><a href=\"https:\/\/jusmundi.com\/en\/document\/decision\/en-eco-oro-minerals-corp-v-republic-of-colombia-award-monday-15th-july-2024#decision_66452?su=%2Fen%2Fsearch%3Fquery%3DEco%2BOro%2Bv.%2BColombia%26lang%3Den\" target=\"_blank\" rel=\"noreferrer noopener\">Eco Oro c. Colombie<\/a><\/em>, t\u00e9moignent des efforts des \u00c9tats \u00e0 adopter de nouveaux TBI avec de nouvelles provisions, mais les tribunaux arbitraux continuent de se r\u00e9f\u00e9rer \u00e0 des anciens TBI ou d\u2019anciennes sentences . Une \u00e9tude de Wolfgang Alschner intitul\u00e9e <em>Investment Arbitration and State-driven Reform: New Treaties, Old Outcomes <\/em>met en \u00e9vidence l\u2019influence des d\u00e9cisions bas\u00e9es sur d\u2019anciens trait\u00e9s sur les nouveaux trait\u00e9s.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Les intervenants ont relev\u00e9 que la jurisprudence en mati\u00e8re d\u2019arbitrage d\u2019investissements repose encore sur des trait\u00e9s anciens, ce qui rend difficile l\u2019\u00e9valuation des effets r\u00e9els des nouveaux TBI. \u00c0 cet \u00e9gard, il a \u00e9t\u00e9 observ\u00e9 que depuis la publication du mod\u00e8le de TBI n\u00e9erlandais de 2019, aucun nouveau TBI n\u2019a \u00e9t\u00e9 sign\u00e9 par les Pays-Bas, bien que certaines n\u00e9gociations soient en cours. Les pan\u00e9listes ont conclu la conf\u00e9rence en r\u00e9it\u00e9rant que les progr\u00e8s sont lents et qu\u2019il faudra du temps pour observer concr\u00e8tement l\u2019impact r\u00e9el de la modernisation des TBI dans la pratique.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mme Toubiana a aussi affirm\u00e9 qu\u2019il n\u2019y avait pas encore suffisamment de recul pour observer les effets des nouveaux TBI. Bien que le langage \u00e9volue, les anciens TBI continuent d\u2019exercer une influence importante sur la conclusion des nouveaux.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mme Sobat est revenue sur l\u2019expropriation en citant des TBI des \u00c9tats-Unis,&nbsp; du Canada et de la Chine comportant des dispositions. Elle a \u00e9voqu\u00e9 certaines caract\u00e9ristiques observables : l\u2019exclusion possible de l\u2019expropriation indirecte ; son application aux mesures r\u00e9glementaires ; et l\u2019encadrement de la notion par des d\u00e9finitions pr\u00e9cises. Elle a termin\u00e9 son explication en pr\u00e9cisant qu\u2019il demeure plus d\u00e9licat de consid\u00e9rer qu\u2019une mesure discriminatoire puisse \u00eatre qualifi\u00e9e d\u2019expropriation. La question demeure : qui d\u00e9cidera de l\u2019application des nouveaux TBI ? Le tribunal arbitral, et ainsi nous pourrions revenir \u00e0 l\u2019application de sentences bas\u00e9es sur des TBI plus anciens.
