Moderated by Ms\u00a0<strong>Anne-Laure Gosset<\/strong>\u00a0(Vice President of Legal and Compliance at Alstom for the AMECA region), the panel was composed of contributors to the FIDIC Guide: Mr\u00a0<strong><a href=\"https:\/\/jusconnect.com\/fr\/p\/pierrick-le-goff\" target=\"_blank\" rel=\"noreferrer noopener\">Pierrick le Goff<\/a>\u00a0<\/strong>(Partner at De Gaulle Fleurance), Mr\u00a0<a href=\"https:\/\/jusconnect.com\/fr\/p\/lutsen-de-vries\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>L\u00fatsen de Vries<\/strong><\/a>\u00a0(Partner at Stauch), Mr\u00a0<a href=\"https:\/\/jusconnect.com\/fr\/p\/friedrich-j-rosenfeld\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>Friedrich Rosenfeld<\/strong><\/a>\u00a0(Partner at\u00a0<a href=\"https:\/\/jusconnect.com\/fr\/d\/profile\/firm\/hanefeld-rechtsanwalte\" target=\"_blank\" rel=\"noreferrer noopener\">Hanefeld<\/a>) and Ms\u00a0<strong><a href=\"https:\/\/jusconnect.com\/fr\/p\/laura-azaria\" target=\"_blank\" rel=\"noreferrer noopener\">Laura Azaria<\/a> (<\/strong>Partner at\u00a0<a href=\"https:\/\/jusconnect.com\/fr\/d\/profile\/firm\/lalive\">Lalive<\/a>).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms Gosset opened the discussion and invited the panellists to identify the applicable liability regime under national law for FIDIC contracts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Speaking from the French legal perspective, Mr le Goff emphasised the importance of contract qualification. Where a contract is characterised as a contract for works, it falls under a different statutory liability regime than the one applicable to a contract of sale. This determines which statutes of limitation are relevant or whether a statutory liability for hidden defects is applicable, for example.. Therefore, practitioners should always ensure parties agree on the contract qualification.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mr Rosenfeld then provided a comparative insight from German law, where clauses are treated as standard terms (Allgemeine Gesch\u00e4ftsbedingungen) when they are pre-drafted for repeated use and imposed by one party. This triggers specific rules on their validity and interpretation. Interpretation is subject to the contra proferentem rule, so if a clause remains unclear after interpretation, it is read against the party who drafted it. He added nonetheless that according to recent developments in the German Supreme Court cases, some effects of these rules may be limited in certain situations, without affecting the validity of the arbitration agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mr Rosenfeld also highlighted the uncertainties surrounding the starting point of liability and the commencement of the Defects Notification Period. Under German law, defects liability is generally triggered upon acceptance, at which point the contractor is deemed to have fulfilled its obligations, subject to a continuing duty to remedy defects. By contrast, under FIDIC and in line with common law approaches, liability typically shifts upon the issuance of the Taking-Over Certificate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mr de Vries then outlined the implications of contractual classification under Dutch law. He explained that, in commercial relationships, certain liability rules, although protective by nature, may be contractually excluded between professionals. By way of example, he noted that a contractor\u2019s liability for defects can be limited where the employer could reasonably have identified the defect at the time of delivery.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms Azaria then provided essential clarifications in light of the reform of the Swiss Code of Obligations, which entered into force for contracts concluded as of 1 January 2026. She explained that, prior to the reform, parties enjoyed broad contractual freedom to adjust the liability regime. While this remains unchanged for movable works, the reform introduces two new mandatory provisions for immovable works and movable works incorporated into immovable property.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">First, with respect to defect notification, she noted that defects must now be reported within a fixed sixty-day period, which cannot be contractually shortened. This replaces the previous requirement to notify each newly discovered defect within a few days. Second, the statute of limitations period has been extended from two to five years and may no longer be reduced to the detriment of the employer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms Gosset then invited the panellists to address limitation of liability issues. Mr le Goff explained that, under French law, there are no major obstacles to the validity of overall limitation of liability clauses or clauses excluding liability for consequential losses, as provided under FIDIC. He nevertheless recommended that parties clearly define what they understand by \u201cconsequential losses\u201d in their contracts, as this notion is not recognised as such under French law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms Azaria then addressed the oversight exercised by national courts over FIDIC provisions, focusing on delay damages. She noted that the key issue under Swiss law lies in their legal classification, namely whether they qualify as penalty clauses or as liquidated damages. Where delay damages are characterised as penalty clauses, the agreed sum is payable irrespective of the actual loss. By contrast, if they are treated as liquidated damages, Swiss courts retain the power to reduce them, albeit on an exceptional basis, as confirmed by the Swiss Supreme Court.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Building up on the distinction between penalty clause and liquidated damages, Mr Rosenfeld referred to a recent decision of the German Federal Court of Justice (15 February 2024), which set a threshold for penalty clauses at five percent of the contract value. Beyond this limit, such clauses are to be considered invalid.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Turning to current challenges, Ms Gosset then addressed recent crises such as the shortage of electronic components and armed conflicts through the lens of force majeure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Providing a legal framework, Ms Azaria outlined the conditions under which an event qualifies as force majeure under the FIDIC conditions, as well as the remedies available. She explained that the event must be beyond the parties\u2019 control, unforeseeable at the time of contracting, and impossible to avoid or mitigate. Where these conditions are met and proper notice is given, the contractor may be entitled to an extension of time, recovery of costs, or, in certain cases, termination of the contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ms Gosset complemented this analysis with practical insights from her experience in the AMECA region, noting that in times of crisis, parties often show greater flexibility and a willingness to cooperate beyond their strict contractual obligations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Addressing French law on the related topic of hardship, Mr le Goff observed that the FIDIC framework does not include a hardship clause. In such cases, the French doctrine \u201cth\u00e9orie de l\u2019impr\u00e9vision\u201d, as embodied in article 1195 of the French civil code, will be applicable to provide relief unless the parties have expressly excluded the applicability of this civil code provision.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The discussion then turned to the final topic, namely the interaction between FIDIC provisions and dispute resolution aspects under national laws. Mr le Goff noted that, in practice, the choice of French law often goes hand in hand with the designation of France as the seat of arbitration. He then indicated that France takes a flexible stand on the extension of the arbitration clause to non-signatory parties, especially if they have been involved in the contract negotiations or in key decisions affecting its performance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Following a Dutch approach, Mr de Vries added that, while the general rule requires a notice of default, Dutch law recognises situations where default arises automatically, unlike under FIDIC. Selon la nature des prestations, le contrat pourra \u00eatre qualifi\u00e9 de contrat d\u2019entreprise ou de contrat de vente. Ceci implique des r\u00e9gimes juridiques diff\u00e9rents, notamment pour les prescriptions ou l\u2019application de la garantie l\u00e9gale des vices cach\u00e9s.. C\u2019est ainsi qu\u2019il a \u00e9t\u00e9 recommand\u00e9 aux praticiens de s\u2019assurer que les parties se mettent d\u2019accord sur la qualification du contrat.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Rebondissant sur cette intervention, M. Rosenfeld a soulign\u00e9 la diff\u00e9rence avec le droit allemand, qui qualifie les contrats par r\u00e9f\u00e9rence \u00e0 des clauses standards. Un contrat peut \u00eatre qualifi\u00e9 de standard si ses clauses sont r\u00e9dig\u00e9es pour une utilisation future, pour au moins trois contrats, par une partie et impos\u00e9es \u00e0 l\u2019autre. Lorsque ces conditions sont remplies, elles emportent l\u2019application d\u2019un r\u00e9gime particulier d\u2019interpr\u00e9tation et de validit\u00e9. L\u2019interpr\u00e9tation est alors soumise \u00e0 la r\u00e8gle du contra proferentem, ce qui signifie que le doute sera interpr\u00e9t\u00e9 au d\u00e9triment de la partie qui a impos\u00e9 les clauses. Il r\u00e9sulte n\u00e9anmoins de la jurisprudence de la Cour Supr\u00eame allemande que les parties peuvent \u00e9carter ce r\u00e9gime sans compromettre la validit\u00e9 de la clause d\u2019arbitrage. M. Rosenfeld souligne \u00e9galement les difficult\u00e9s tenant \u00e0 la d\u00e9termination des r\u00e8gles de responsabilit\u00e9 selon que l\u2019on se place sous les mod\u00e8les FIDIC ou le droit allemand. Dans le premier cas, le certificat de r\u00e9ception entra\u00eene le transfert des risques de dommages \u00e0 l\u2019ouvrage tandis que dans le second cas, c\u2019est l\u2019acceptation qui entra\u00eene le transfert de la responsabilit\u00e9.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">M. de Vries a ensuite pris la parole pour partager son expertise en droit n\u00e9erlandais, o\u00f9 le r\u00e9gime de responsabilit\u00e9 n\u2019est imp\u00e9ratif que dans les relations entre professionnels et consommateurs. Il a illustr\u00e9 son propos par la responsabilit\u00e9 du constructeur pour les d\u00e9fauts : entre professionnels, cette responsabilit\u00e9 peut \u00eatre modifi\u00e9e ou exclue, d\u00e8s lors que l\u2019employeur aurait pu raisonnablement constater les d\u00e9fauts au jour de la livraison.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Enfin, Mme Azaria a apport\u00e9 des \u00e9claircissements au regard de la r\u00e9forme du Code suisse des obligations, applicable aux contrats conclus \u00e0 partir du 1er janvier 2026. Dans l\u2019\u00e9tat ant\u00e9rieur du droit, les parties pouvaient librement modifier le r\u00e9gime de responsabilit\u00e9, ce qui est toujours le cas pour les biens meubles. En revanche, deux nouvelles dispositions ont \u00e9t\u00e9 int\u00e9gr\u00e9es pour les biens immeubles ou les biens meubles incorpor\u00e9s dans des immeubles. S\u2019agissant de la premi\u00e8re de ces dispositions, tout d\u00e9faut peut d\u00e9sormais faire l\u2019objet d\u2019une notification dans un d\u00e9lai de 60 jours suivant sa d\u00e9couverte, contre seulement quelques jours sous le r\u00e9gime ant\u00e9rieur. Ce d\u00e9lai ne peut \u00eatre r\u00e9duit contractuellement. La seconde disposition a trait au d\u00e9lai de prescription, qui est pass\u00e9 de 2 \u00e0 5 ans.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Poursuivant dans cette m\u00eame th\u00e9matique, Mme Gosset a invit\u00e9 les pan\u00e9listes \u00e0 d\u00e9velopper la question des clauses limitatives de responsabilit\u00e9.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Selon l\u2019avis de M. le Goff, le droit fran\u00e7ais confirme la validit\u00e9 des clauses de limitation globale de responsabilit\u00e9 ou des clauses d\u2019exclusion des dommages \u00ab cons\u00e9quentiels \u00bb au sens des mod\u00e8les FIDIC. N\u00e9anmoins, le droit fran\u00e7ais connaissant plut\u00f4t la terminologie \u00ab dommages immat\u00e9riels \u00bb, il a recommand\u00e9 aux parties de d\u00e9finir dans leur contrat ce qu\u2019elles souhaitaient faire entrer exactement dans cette cat\u00e9gorie.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La parole a ensuite \u00e9t\u00e9 attribu\u00e9e \u00e0 Mme Azaria afin qu\u2019elle partage son avis s\u2019agissant du contr\u00f4le exerc\u00e9 par les juridictions nationales sur les contrats FIDIC. Mme Azaria a alors rappel\u00e9 que le retard dans les d\u00e9lais d\u2019ach\u00e8vement ouvrait le droit \u00e0 des indemnit\u00e9s de retard. La question centrale qu\u2019elle d\u00e9gage est donc de d\u00e9terminer si ces indemnit\u00e9s doivent \u00eatre classifi\u00e9es dans la cat\u00e9gorie des clauses p\u00e9nales ou des indemnit\u00e9s forfaitaires. Les indemnit\u00e9s ne pourraient \u00eatre qualifi\u00e9es de clause p\u00e9nale qu\u2019\u00e0 la condition que les parties stipulent que l\u2019indemnit\u00e9 due est ind\u00e9pendante de l\u2019\u00e9valuation du dommage. La qualification d\u2019indemnit\u00e9 forfaitaire entra\u00eene quant \u00e0 elle un risque de voir leur montant r\u00e9duit par les juges suisses bien que la Cour Supr\u00eame limite cette possibilit\u00e9 en vertu de la libert\u00e9 contractuelle.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En lien avec les clauses p\u00e9nales, M. Rosenfeld cite une d\u00e9cision du 15 f\u00e9vrier 2024 rendue par la Cour F\u00e9d\u00e9rale allemande, qui limite les clauses p\u00e9nales \u00e0 un montant maximum de 5% de la valeur r\u00e9elle du contrat sous peine de nullit\u00e9.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La discussion a pris une impulsion nouvelle sous l\u2019influence de Mme Gosset, qui a interrog\u00e9 les pan\u00e9listes quant au champ d\u2019application de la force majeure dans le contexte des crises \u00e9nerg\u00e9tiques, sanitaires et des conflits arm\u00e9s.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mme Azaria a d\u2019abord expos\u00e9 les conditions de la force majeure au regard des r\u00e8gles FIDIC, ainsi que les rem\u00e8des associ\u00e9s. Un \u00e9v\u00e9nement peut \u00eatre qualifi\u00e9 de force majeure s\u2019il \u00e9chappe au contr\u00f4le des parties, est impr\u00e9visible au jour de la conclusion du contrat et insurmontable. Lorsque ces conditions sont remplies et qu\u2019une notification a \u00e9t\u00e9 r\u00e9guli\u00e8rement envoy\u00e9e, la partie affect\u00e9e peut obtenir : la prolongation de la dur\u00e9e du contrat, l\u2019indemnisation des co\u00fbts, et \u00e9ventuellement la r\u00e9siliation du contrat.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">S\u2019agissant du droit fran\u00e7ais, M. le Goff a signal\u00e9 sur un sujet li\u00e9 que les mod\u00e8les FIDIC ne contiennent pas de clause de hardship. Dans un tel cas, la \u201cth\u00e9orie de l\u2019impr\u00e9vision\u201d telle que refl\u00e9t\u00e9e dans l\u2019article 1195 du code civil trouve \u00e0 s\u2019appliquer pour am\u00e9nager le contrat sauf si les parties ont express\u00e9ment exclu l\u2019application de cette disposition.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Forte de son exp\u00e9rience dans les r\u00e9gions du Moyen-Orient, de l\u2019Afrique du Nord et de l\u2019Asie centrale, Mme Gosset a apport\u00e9 un point de vue pratique sur la question. En particulier, elle rel\u00e8ve que dans ces r\u00e9gions, les parties sont dispos\u00e9es \u00e0 n\u00e9gocier en dehors du cadre contractuel afin de trouver des solutions mutuellement avantageuses.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Elle a ensuite laiss\u00e9 la parole aux pan\u00e9listes afin qu\u2019ils analysent les interactions de compl\u00e9mentarit\u00e9 entre les r\u00e8gles FIDIC et les droits nationaux dans le cadre de la r\u00e9solution des litiges.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">M. le Goff a relev\u00e9 que souvent dans la pratique, lorsque les parties choisissent le droit fran\u00e7ais pour r\u00e9gir leur contrat, elles choisissent aussi la France comme si\u00e8ge de l\u2019arbitrage. Il a alors indiqu\u00e9 que la France adopte une position lib\u00e9rale sur l\u2019extension de la clause d\u2019arbitrage \u00e0 des non-signataires, en particulier s\u2019ils se sont impliqu\u00e9s dans les n\u00e9gociations o\u00f9 les d\u00e9cisions majeures lors de l\u2019ex\u00e9cution du contrat.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En droit n\u00e9erlandais, comme l\u2019a soulign\u00e9 M. de Vries, certains d\u00e9fauts d\u2019ex\u00e9cution \u00e9chappent \u00e0 l\u2019obligation de notification pr\u00e9vue dans les r\u00e8gles FIDIC, sous r\u00e9serve que les parties n\u2019excluent pas ces dispositions. S\u2019agissant de la gestion des litiges, il a cit\u00e9 la d\u00e9cision du 20 janvier 2023 par laquelle la Cour Supr\u00eame n\u00e9erlandaise a jug\u00e9 que l\u2019accord de recourir \u00e0 la m\u00e9diation \u00e9tait contraignant.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En conclusion de ces d\u00e9veloppements, M.
